The foundation real estate, the location and characteristics of which are specified below, has been put out to barter tender in exchange for real estate, under the conditions specified below, in accordance with Article 12 of the Foundations Law No. 5737, Presidential Decree No. 4 and the relevant articles of the State Bidding Law No. 2886.

The tender conditions for the above mentioned real estate, which is the subject of the tender based on the decision of the Foundations Council dated 27.01.2025 and numbered 34/36, are stated below.
The real estate/real estates to be offered for exchange in place of the real estates with parcel numbers 3 on island 67, island 5, 7 and 77, registered in the name of Mazbut Cedid Semiz Gedik Ali Pasha Bin Huseyin Foundation and Abbıyık Imamına Meşruta Hasan Ağa and Sultan Mahmud Sani Foundation in Fatih district, Cankurtaran Neighborhood, Istanbul province;
1) The real estate offered for exchange for the foundation real estate must be located within the borders of the province of Istanbul,
2) The proposed real estate must be zoned for commercial use and there must be no obstacle to the use of the proposed real estate(s).
3) There should be no restriction on disposal in the land registry, annotations, declarations and other sections of the real estate to be offered.
4) Not having any outstanding debts or fees such as property taxes to the relevant municipality,
5) All expenses, including Value Added Tax, all taxes, duties, fees and revolving fund expenses, etc., related to the real estate and/or real estates to be exchanged together with the real estate subject to the tender,
6) Offering the real estate(s) and the remaining amount in cash, not less than the estimated value of the foundation's real estate,
7) If the real estate/real estates offered for barter are registered in the name of the participant in the land registry or if the real estate offered is registered in the name of a third party, a notarized contract/protocol between the bidder and the owner of the real estate offered must be submitted to the Administration stating that the real estate owner will transfer the real estate to the bidder if the tender is awarded to the bidder participant. If the owner of the real estate offered is a third party, the provisions of Article 11 must be applied in case the transfer procedures cannot be completed after the tender and the Administration shall not be liable to third parties in any way.
8) After the opening of the bids and determination of the ones to be evaluated, the appraisal reports of the real estates that are the subject of the valid bids will be prepared by two separate Real Estate Appraisal Companies with CMB licenses (with the service fees being borne by the bidders) and the prepared appraisal reports will be submitted to the Administration within 10 days. During this period, the technical personnel of the Administration will also prepare an appraisal report and the price of the offered real estate will be determined by taking the arithmetic average of the prices determined in these three appraisal reports and this price will be counted as the bid price for the foundation real estate.
- If the price offered by the participant for his/her own real estate is lower than the price determined by taking the average of the appraisal values, the offered price will be taken as basis,
- If the price offered by the participant for his/her own real estate is higher than the price determined by taking the average of the appraisal values, the arithmetic average of the appraisal values will be taken as basis,
- If the arithmetic average of the appraisal prices of the property proposed for barter is below the estimated price, the offer will be deemed invalid.
9) The Tender Commission should make its evaluation within a maximum of 3 days following the 10th day and determine the date for the 2nd session. The session should be closed after the final offers of the bidders who are entitled to participate in the 2nd session are received. The bids submitted in the first session by the bidders who did not attend the 2nd session, despite being invited, are valid. The Tender Commission should decide on the tender to be submitted to the relevant authorities for approval.
10) If the prices of the properties offered for barter are the same, the Tender Commission is free to choose one of the offers by making its own evaluation and stating the reason.
11) After the final tender approval is notified to the participant, the barter-related work and procedures must be completed within 15 days, and the temporary guarantee must be recorded as revenue without the need to file a protest or obtain a judgment against the participant who does not fulfill his obligations within the specified period.
12) The barter tender was held on the condition that the participants who entered the tender were deemed to have entered the tender by viewing the foundation's real estate.
13) The tender will be held at the Balıkesir Regional Directorate of Foundations service building on the date and time specified above, in the presence of the Tender Committee. Bids submitted to the Committee cannot be withdrawn for any reason.
14) The bidders who will submit an offer for the tender will be required to submit a Letter of Offer along with their offer.
They can obtain the Sample (ANNEX: 1) and the Temporary Guarantee Letter Sample (ANNEX: 2) from the Administration free of charge during working hours or from the announcement page of this tender in the tenders section on the internet address (www.vgm.gov.tr).
15) To participate in the tender, bidders must submit their bids, prepared in accordance with the tender regulations, to the Istanbul Regional Directorate of Foundations by the tender time, in return for a signature, along with the documents requested below, in a sealed envelope. The envelope must be signed and stamped by the bidder. The outer envelope must be similarly signed and stamped, and the inner envelope must be submitted to the Administration. The Letter of Offer (Annex 1), a copy of which can be obtained from the Administration, and its attachments must be placed inside.
16) The administration is free to decide whether to barter or cancel the tender at any stage. In case of disagreement, Balıkesir courts have jurisdiction.
17) Documents Required to be Submitted in the Tender File:
1- INNER ENVELOPE:
1.1 Letter of Offer and its annexes.
In the inner envelope, in accordance with the sample prepared by the Administration
(ANNEX-1) Offer Letter and its annexes (2nd part of the announcement)
Documents supporting Article 1, Article 3 and Article 4) will be submitted in the inner envelope.
2- OUTER ENVELOPE:
2.1 Provisional Guarantee;
The values stipulated in Article 26 of Law No. 2886 will be accepted as temporary guarantee. If the temporary guarantee is in cash, (Temporary guarantee for the exchange of the real estate with parcel numbers 3, island 5, 7 and 77, island 67, island 67, Fatih district, Cankurtaran Neighborhood, Istanbul province, with the name, surname and title of the real or legal entity) and the receipt indicating that it has been deposited to the IBAN number TR21 0021 0000 0020 0034 1000 06 at the Vakıf Katılım Bankası-Balıkesir Branch of the Administration or an in-limit and unlimited Temporary Guarantee Letter obtained according to the sample to be provided by the Administration (ANNEX-2).
2.2 In case of a natural person, a residence document, a copy of the identity card and the original of the signature declaration approved by a notary public or a copy of the original approved by the Administration.
2.3 In case of a legal entity; the original or notarized copies of the Trade Registry Gazette, Activity Certificate and Signature Circular or a copy approved by the Administration.
2.4 In case of participation in the tender by proxy, a notarized power of attorney and the notarized signature declaration of the proxy or a copy of the original approved by the Administration.
2.5 In case of a joint venture, the above mentioned documents, prepared separately for the legal personality of each partner, and a notarized partnership declaration or a copy of the original approved by the Administration,
2.6 If the proposed real estate is registered in the name of a third party; the notarized contract/protocol specified in Article 7.
2.7 The text of this announcement is signed by the bidder with the annotation "I have read and accepted" written on each page.
